    1. Introduction

    Welcome to Xharvoc Limited ("Xharvoc", "we", "our", or "us"). These Terms of Service ("Terms") govern your use of our website, products, and services. By accessing or using our services, you agree to be bound by these Terms.

    To use our services, you must:

    • Have the legal authority to enter into agreements
    • Provide accurate, current, and complete information during registration

    • API Integration
    • Cloud Infrastructure

    5. Payments & Billing

    5.1 Payment Terms

    • All payments must be made in advance before the commencement of services unless otherwise agreed in writing
    • Payments will be charged based on the selected service package

    5.2 Late Payments

    • Failure to make payments within the due date will result in suspension of services
    • Late payment interest may be applied in accordance with the Late Payment of Commercial Debts (Interest) Act 1998

    5.3 Taxes

    All applicable taxes, including VAT or any local government taxes, will be charged extra and are non-refundable.

    6. Termination of Services

    Xharvoc reserves the right to terminate any services if:

    • Client violates these Terms
    • Any illegal activity is detected
    • Non-payment of invoices after repeated notices
    • Breach of confidentiality or security obligations

    7. Intellectual Property

    • All custom software, code, design, and content developed by Xharvoc will remain the property of Xharvoc unless agreed in writing
    • Client will have a non-exclusive, non-transferable license to use the deliverables for their business purposes only
    • Upon full payment, ownership rights transfer as specified in the service agreement
    • Third-party licenses and tools remain subject to their respective terms

    8. Confidentiality

    Both parties agree to maintain the confidentiality of all proprietary information exchanged during the project. This includes business strategies, technical information, customer data, and any other sensitive information disclosed during our engagement.

    9. Limitation of Liability

    Under no circumstances will Xharvoc be liable for:

    • Loss of revenue, business, or data
    • Any indirect, incidental, or consequential damages
    • Interruption of business operations

    Maximum liability is limited to the amount paid by the Client for the service in question. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

    10. Governing Law

    These Terms are governed by and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute arising out of these Terms.

    11. Force Majeure

    We will not be held responsible for any delay or failure in service due to events beyond our reasonable control, including but not limited to:

    • Natural disasters
    • Government regulations or restrictions
    • Technical failures or internet outages
    • Pandemics or public health emergencies
    • Acts of war or civil unrest

    12. Dispute Resolution

    Any disputes arising out of these Terms will first be attempted to be resolved through good-faith negotiations. If unresolved within 30 days, disputes shall be resolved through:

    • Mediation under the jurisdiction of England and Wales
    • If mediation fails, through arbitration or court proceedings in England and Wales

    13. Amendments

    Xharvoc reserves the right to update these Terms at any time. We will make reasonable efforts to notify clients of material changes. Continued use of our services after changes constitutes acceptance of the revised Terms.
